MIT Ringtone Competition Official Rules

1. COMPETITION IS OPEN TO LEGAL RESIDENTS OF THE UNITED STATES, AT LEAST 13 YEARS OF AGE OR OLDER AT TIME OF ENTRY, WHO ARE STUDENTS, FACULTY, STAFF MEMBERS OR OTHERWISE AFFILIATED WITH THE MASSACHUSETTS INSTITUTE OF TECHNOLOGY (“MIT”) AND WHO MEET THE ELIGIBILITY REQUIREMENTS DESCRIBED IN THESE OFFICIAL RULES. Employees (and their immediate families) of The H-Lounge and any affiliated companies, sponsors and subsidiaries, are not eligible to participate in this Competition. By participating in this Competition, Entrants agree to be bound by these Official Rules and by the decisions of Sponsor, which are final in all matters relating to this Competition.

2. Promotion Period: MIT Ringtone Competition (the “Competition”) commences at 9:00 a.m. (EST) on January 9, 2006 and ends at 11:59p.m. (EST) on January 21, 2006 (the “Promotion Period”). This Competition is administered by The H-Lounge, doing business as Harmony Line, Inc. (the “Sponsor”)

3. Competition Categories: Entrants can enter the Competition in one of the following categories: 1) MIT Undergraduate Students; or 2) MIT Affiliates, as further defined in these Official Rules. There will be one winner per category.

4. Eligibility: To enter the Competition in the MIT Undergraduate Students Category, Entrant must be currently enrolled as an undergraduate student at MIT and must enter the Competition using a valid MIT e-mail account (mit.edu). To enter the Competition in the MIT Affiliates Category, Entrant must be an MIT graduate student, faculty member, staff member, fellow, scholar, visiting professor or scientist, or related to any of the above, and Entrant must provide a valid MIT e-mail account (mit.edu) as proof of affiliation. In additional, Entrant in either Category must be or become a member of the Hyperscore® online community at www.h-lounge.com in order to enter the Competition and will be bound by the Online Community Participation Agreement.

5. Submission Requirements: Log onto www.h-lounge.com for details. Entrants should submit an original ringtone created with the Hyperscore® software (.hsc file). Entrants must submit their ringtones through the Upload to Community online function from the Share Menu within Hyperscore®. Entrant must follow the instructions and enter all required information in the Submit to MIT Ringtone Competition online form. Each Entrant is allowed to submit up to 3 (three) ringtones to the Competition. Each entry must be entirely the Entrant's original creation. Use of the Hyperscore® Music Library is allowed. Entries must be received by 11:59p.m. (EST) on January 21, 2006.

6. Handling of submissions: Sponsor assumes no responsibility for incorrect, inaccurate, lost, late or delayed entries whether caused by any of the equipment or programming associated with or utilized in this Competition or by any human error which may occur in the processing of entries into this Competition. All entries will be kept secret until the end of the Promotion Period, after which Sponsor reserves the rights to publish all submissions at www.h-lounge.com. Entrants agree to the website’s Terms and Conditions and to the Online Community Participation Agreement. The selection of the Competition’s finalists shall be made by Sponsor, in its sole and absolute discretion.

7. Judging Panel/Judging Criteria: The official judging panel will be comprised of David "The Edge" Howell Evans, guitarist for U2; Professor Marvin Minsky (MIT Professor and AI pioneer); Professor Tod Machover (MIT Professor and prominent composer and technologist); and Mary Farbood (author of Hyperscore®). Sponsor reserves all rights to change any and all judging panel members at its sole discretion and for any reason. The final determination of the Winner in each Category and the determination of the judging criteria shall be in the sole and absolute discretion of the Judges. To the extent permitted by law, Sponsor disclaims any liability from, and Entrants (whether or not awarded a prize) agree to waive, any claims against Sponsor/Judges relating to the judging or awarding process.

8. Winners Announcement: The announcement of the Winner of each Category will be made in a public event to take place on January 27th, at 4:30p.m. at the MIT Stata Center, or as otherwise announced at www.h-lounge.com. Winners will be subsequently announced at www.h-lounge.com. Sponsor reserves the right to delay the announcement of the Winners in its sole discretion. Winners will be notified by e-mail and will have 30 (thirty) days to respond in order to receive the Prize(s). Sponsor is not responsible for invalid or incorrect e-mail information provided by Winner if Winner cannot be reached on the e-mail address provided.

9. Prizes: (i) The Winner of the MIT Undergraduate Students Category will be awarded a Lyons Group VIP Key Card, good for free, no-wait admission to the Avalon Club or other Lyons Group venues in the Boston area, good for 6 (six) months from the winner announcement date. The cardholder and up to 3 guests are to be given line privileges, waived admissions, and preferred reservations where applicable. The VIP card is non-transferable and is void for concerts, private parties or guest DJs. Other rules may apply according to Lyons Group policies. In addition, the dorm, fraternity, sorority or MIT organization or student group indicated by Winner in the submission form will be awarded a $500.00 cash prize by Sponsor. MIT organization or student group must be listed at MIT web page http://www.mit.edu/life/ to be eligible. (ii) The Winner of the MIT Affiliates Category will be awarded a 60GB Video iPod™ and a Bose SoundDock™ system for iPod™donated by Sponsor.

10. Sponsor reserves the right in its sole discretion to disqualify any individual that does not meet the eligibility criteria, or that it finds to be tampering with the entry process or the administration of the Competition, or to be acting in violation of these Official Rules.

11. Sponsor reserves the right to cancel, terminate, modify, delay or suspend the Competition due to any reason, including reasons of a technical, creative or other nature.

12. By entering the Competition, Entrant agrees to (i) grant Sponsor, and its affiliates, successors, assigns, licensees, and sub-licensees, the nonexclusive, worldwide, perpetual, irrevocable, royalty-free, fully transferable right and license (including but not limited to the right to sublicense to others) to reproduce, modify, use, create derivative works based upon, publish, publicly perform, publicly display, transmit, broadcast, serve, deliver, market, distribute, sell, and/or otherwise exploit or license any and all content in all forms and media now known or hereafter developed, that Entrant submits to the Competition, or otherwise provides to Sponsor (collectively “Content”), (ii) irrevocably wave any and all “moral rights” that Entrants may have in any of Content, including but not limited to the rights of paternity or integrity, and rights to claim authorship in relation to any of Content, or in any works in which it is incorporated; (iii) expressly and irrevocably waive any rights to receive any public performance fees of any kind, if applicable, for use of Content.

13. By entering the Competition, Entrant agrees that Sponsor, our successors, assignees and licensees, shall have the right, but not the obligation, to use the Content, as well as Entrant’s name, voice, likeness and biography in connection with the Competition and ancillary uses thereof, in all media in perpetuity throughout the universe, including advertising and promoting the Competition and the services of Sponsor.

14. By entering the Competition, Entrant agrees that he/she will not use the Services to infringe upon or misappropriate the intellectual property rights, including without limitation the copyrights, of any party. WITHOUT LIMITING THE PRECEDING SENTENCE, ENTRANT AGREES THAT HE/SHE WILL NOT USE THE SERVICES TO CREATE MUSICAL PERFORMANCES BASED ON OTHER PARTIES’ COMPOSITIONS OR UPLOAD OR DOWNLOAD ANY SUCH PERFORMANCES UNLESS ENTRANT HAS OBTAINED ALL NECESSARY RIGHTS AND LICENSES FROM THE OWNERS OF SUCH COMPOSITIONS. ENTRANT ACKNOWLEDGES THAT IT IS HIS/HER RESPONSIBILITY TO DETERMINE WHICH RIGHTS ARE NECESSARY. Entrant agrees to indemnify, defend and hold harmless Sponsor, its affiliates, suppliers, and each of its and their employees, officers, directors, successors, licensees, assigns, and advisors (collectively the “Sponsor Parties”) from and against any and all claims, damages, demands, or liabilities, including but not limited to attorneys fees and costs arising out of any claim that his/her Information, and any other content of any kind that Entrant creates using the Services or uploads in any way infringes upon or misappropriates, violates, or infringes any party’s personal or proprietary rights of any kind.
